Gerald Nels (“Jerry”) Olson is the Manager of G N Olson & Company. G N Olson & Company provides consulting services to owners, investors and lenders regarding the structure and restructure of investments. Jerry has thirty years of experience: legal, business, banking and commercial real estate investment and development, in Dallas Texas, Washington DC and nation-wide. Jerry maintains an active real estate network. Jerry has a BA (UNT), JD (SMU) and PhD (London).Jerry's distinguished career reflects thirty-five years of experience as an attorney and as senior partner and member of the management committee of major law firm; company president, chief executive and chief operating officer for commercial real estate businesses with assets aggregating well over U.S. $1 billion; president of a business and bank consultantcy; director and loan committee member of a multi-bank holding company; and published author and scholar.

Jerry’s extensive experience as an attorney and business consultant has been concentrated in commercial real estate purchase, sale, development and financing; representing owners, investors, developers and lenders, including banks, thrifts, insurance companies, pension funds and real estate investment trusts.

Recent projects include: strategic planning and advice with respect to the acquisition and reorganization, in conjunction with company unsecured senior debenture holders, of a securities broker/dealer and real estate lending and development company in state court receivership; confidential strategic planning and advice with respect to a proposed 2.7 million square foot, three-phase, 38-story, urban mixed-use residential, office, retail, hotel and municipal services project; strategic planning and advice resulting in an agreement with the principals of a large regional commercial real estate company to create a commercial real estate investment portfolio; a $1,230,000 private placement of equity and $5,400,000 debt financing for the acquisition, re-development and lease-up of a 60,000 square foot historic brewery building for office and retail use; formation of a start-up commercial real estate acquisition and asset management company including written economic and strategic analysis, business plan, company organization and structure, pension fund financing presentation and complete integrated asset management policies, procedures, forms and standard documents, all under License Agreement; $4,000,000 Private Placement of equity and $6,800,000 debt financing for the acquisition of a 155,000 square foot shopping center; and negotiation of a $30 million platform joint venture.

In connection with the reorganization of a Texas-based commercial real estate company and as a partner in that company, Jerry directed the design, development, construction and financing of approximately $120 million in apartments and commercial real estate including:
· Thirteen story 250,000 square foot office building;

The company had offices in Austin, Houston, San Antonio and Dallas. As a part of that same reorganization, Jerry completed a portfolio review of his partner's position in ten retail grocery anchored shopping centers and completed a tax advantaged partial liquidation and dissolution of ownership and disposition of the portfolio for $94 million.

Jerry served as Chief Operating Officer, and then President and Chief Operating Officer of a large Texas-based commercial real estate company, with assets of approximately $1 billion. The company’s asset base consisted of 18 operating companies, 2 administrative service/holding companies and over 100 project partnerships, including:

· Three large master planned mixed-use communities, each including residential lots, golf courses, apartment sites, office sites and retail sites, all together valued in excess of $200 million;
· Two residential lot development companies which acquired land developed infra-structure and sold completed lots in volume to large tract home builders, such as Centex and Pulte Homes, as well as developing high-end gated residential communities, with lots sold to custom home builders;
· Office development, management and leasing company developing primarily suburban garden office projects as well as office and industrial parks and separate mid-rise and numerous high rise office development sites, all in Dallas and Fort Worth, Texas and Aspen, Colorado;
· Apartment development and management company developing garden apartment projects in Dallas and Fort Worth Texas as well as in Groton Connecticut;
· Retail shopping center development, leasing and management company with projects in master planned communities as well as in other markets in Dallas and Fort Worth, Texas, the "mid-cities area" and in Houston, Texas (the retail company maintained offices in Dallas, Fort Worth and Houston, Texas)
· Hotel development and management company which owned and operated five all-suite hotels;
· Mortgage banking company which placed commercial real estate loans on a fee basis;
· Land acquisition and syndication company;
· Apartment acquisition and syndication company;
· Controlling interests in two thrifts with combined assets in excess of 2 billion;
· Controlling interest in two banking institutions, one of which was a national multi-bank holding company, with assets in excess of $1 billion.

Jerry conceived and implemented a comprehensive company and debt restructure for the company, one of the first successful "global workouts" in the banking and real estate crisis of the late 1980's and early 1990's, and a prototype for subsequent business consulting transactions.

Jerry has advised owners, investors and lenders in restructure transactions aggregating in excess of U.S. $3 billion. These restructuring transactions involved primarily large commercial real estate owners, investors and lenders and spanned complex issues of business and personal relationships, business structure and operations, finance, regulation and law.

Jerry was appointed Senior Fellow of the London Institute of International Banking, Finance and Development Law, London, and of the Institute of International Banking and Finance at Southern Methodist University, Dallas, Texas, for the period 1994 to 2004; and Visiting Senior Fellow at the Centre for Commercial Law Studies, Queen Mary College, University of London, for the period 1994 to 1998 and Visiting Scholar at Southern Methodist University School of Law, Dallas, Texas, for the period 1994 to 1996.

Jerry is the author of a book entitled Banks in Distress, Lessons from the American Experience of the 1980s, regarding the phenomenon of worldwide banking and financial distress, including related public policy issues, published by the London office of Kluwer Law International, The Hague, Netherlands in 2000 as a part of its International Banking, Finance and Economic Law Series.

Jerry has written and lectured extensively on legal and business aspects of banking and finance in the US, England, Europe and South America. Jerry has presented 27 professional papers, published 13 book chapters and delivered more than 15 personal presentations at prestigious international conferences. Jerry is a member of the State Bar of Texas. Jerry has a Batchelor of Arts degree from the University of North Texas, a Juris Doctor degree from Southern Methodist University and Doctor of Philosophy degree from Queen Mary College, University of London.

Trish Olson has thirty years of experience as a personal counselor to men and women professionals, business executives, families and children.

Trish has done extensive work with family intervention agencies in both Texas and Idaho. She has served as Clinical Director of Neighborhood Youth Services in Richardson, Texas, overseeing counseling staff, client intake and raising program standards. Trish completed an intensive post-graduate program at the Southwest Family Institute in Dallas, prior to her admission as a Clinical Member to the American Association of Marriage and Family Therapists. She has been in private practice since 1989.

Trish has also served as volunteer for the Juvenile Department of the City of Dallas as a youth advocate. She has served on local boards in Texas and Idaho, The Greater Dallas Ahead and the Memorial Community Center in Idaho.
